Licensing Principles

TQ Delta believes strongly in the value and importance of innovation, and has shared the results of its work with industry through active participation in standards setting organizations and by engaging in good faith licensing efforts. TQ Delta recognizes that innovation and invention are key inputs to and critical to the success of many of today’s most important products and services, and strives to engage the market in fair, reasonable and non-discriminatory licenses to its patents. Licensing can and should be the result of good faith negotiations between patent owners and licensees, but requires a commitment from both sides to thoughtful, open, and engaged communication.

Below are TQ Delta’s licensing principles for both patent owners and licensees:

Patent Owners

  • Provide transparency by disclosing the direct ownership of its patents in dealings with patent offices, licensees, and standards setting organizations
  • Carefully evaluate the merits, enforceability, validity, application, use, and value of patents prior to initiating licensing discussions
  • Engage in focused and respectful licensing and enforcement programs, seeking to avoid local retailers and nascent startups
  • Offer a protected environment for bilateral sharing of useful facts, including relevant technical, sales, and economic data, to enable productive discussions and thoughtful evaluation by both sides
  • Support the prospective licensee’s diligence and understanding of the patented inventions by providing information and data regarding the use of the patents, including how the patents may relate to certain standards
  • Offer fair value licenses based on relevant and legitimate market and economic considerations

Licensee

  • Commit to honest, fair and reasonable investigation of a licensor’s patented inventions and stated applications or uses in products or standards
  • Make reasonable efforts to agree to a framework with the licensor that will allow for timely and efficient license negotiations
  • Engage in good faith negotiations with a licensor and make reasonable efforts to acknowledge and respond to the patent holder’s communications in a timely, productive, and respectful manner
  • Provide accurate, relevant information in a timely manner regarding sales volumes, pricing, and technical information to enable productive discussion and negotiations and avoid protracted or unnecessary negotiations for both parties
  • As product or service providers, acknowledge and demonstrate a fundamental understanding of the capabilities and operation of their offerings
  • Apply reasonable efforts to investigate and understand the industry standards and technologies that it practices or incorporates into its products/services and the sources of those innovations
